    Business Plans and Goals


  • The first document a business owner should write is a solid business plan. This document outlines common goals and objectives of the business, along with a management plan, marketing strategies and a financial budget. This document includes strategic goals and provides a blueprint for the business, especially during the first few years of business.
  • Accounting Documents


  • The accounting department of any given business must track all incoming and outgoing funds. Several documents must be written to track all spending and sales income, both on a daily and annual basis. Accountants must issue invoices for clients, maintain monthly budgets for the company’s departments and write annual financial reports for investors and shareholders. Whereas invoices are typically between one and two pages long, an annual report may be upwards of 50 pages.
  • Customer Service Documents


  • Companies selling services and products directly to end customers often have a customer service department that sells these products and services, as well as provide support and answers for customers. Common business documents in the customer service department include order forms, customer complaint forms and brochures with descriptions of products and services.
  • Business Reports


  • Business documents may also refer to business reports, which may be between 10 and hundreds of pages long. These reports may include annual sales report, annual budget reports for production and monthly update reports from marketing departments and production lines.
  • Operational Documents


  • Operational documents are pages or reports with information that may be written on a daily, weekly or monthly basis. Examples of operational documents include meeting minutes written during operational meetings and project proposals for internal and external tasks that the business must complete. These tasks may include interior restructuring and an external marketing campaign.

    Sales-related Contracts

    • Bill of Sale - Transfers ownership of a good from one party to another

    • Agreement for the Sale of Goods- A contract for the sale, may be confirmed by a bill of sale after the transaction goes through

    • Purchase Order - First official offer made by a buyer to a seller

    • Warranty- Any conditions or actions that would void the contract

    • Limited Warranty- Warranty limited to just one or a few parts

    • Security Agreement - Contract between a lender and borrower of a loan

    Employment-Related Contracts

    • Employment Agreement -A contract for employment, including details about payment, job responsibilities, etc.

    • Employee Noncompete Agreement- An agreement to not work for a direct competitor for a specified period of time after termination

    • Independent Contractor Agreement - Similar to an employment agreement, but outlines the terms to which the limited work contract applies

    • Consulting Agreement- Outline of the tasks and responsibilities (and compensation in return) for a consulting relationship

    • Distributor Agreement- Defines the relationship with a distributor

    • Sales Representative Agreement- Typically used to define the amount of commission, and how it's tabulated, for a salesperson

    • Confidentiality Agreement- Agreement to not disclose certain information to third parties

    • Reciprocal Nondisclosure Agreement - Nondisclosure agreement in which both parties agree not to disclose certain trade secrets

    • Employment Separation Agreement- Also referred to as a termination agreement, this formally ends the employment relationship

    Leases

    • Real Property Lease- A contract to lease office, manufacturing, or commercial real estate between the landlord and the business

    • Equipment Lease- Agreement to lease equipment for a specified period of time

    General Business Contracts

    • Franchise Agreement- Outlines the relationship between the franchisor and the franchisee, such as support, advertising, use of brand, etc.

    • Advertising Agency Agreement- Establishes the scope of duties to be performed by the agency, duration, payment, etc.

    • Indemnity Agreement- An agreement to transfer risk from one party to another

    • Covenant Not to Sue- One party claiming damages agrees not to sue the responsible party

    • Settlement Agreement- Agreement between two parties to end a lawsuit in exchange for certain concessions (usually cash paid to the plaintiff)

    • Release- Typically refers to a release from liability (which are common for businesses where customers assume a reasonable risk of some sort)

    • Assignment of Contract - A legal transfer of the benefits and obligations of a contract from one party to another

    • Stock Purchase Agreement - Contractual agreement to sell a certain amount of stock to a name individual (often used for stock options at private companies)

    • Partnership Agreement- Official agreement among two or partners, including responsibilities of each

    • Joint Venture Agreement- Lays out the obligations, goals, and financial contributions of all parties involved in a joint venture

    • Agreement to Sell Business- Documents the terms of a business sale


    Read Through the Contract Carefully

    Whether it is your contract that you wrote yourself, you are using a template or you have been given the contract to sign, make sure to read it first.

    Check that all the information is what you have agreed to, Check that all names and details are correct and have been spelled correctly. Check any ambiguous language that may create confusion later. Check the fine print and make sure you understand the meaning of any terms that you aren’t sure of.

    After the contract is signed, it is legally binding and you may find yourself stuck with something you didn’t want or facing a breach-of-contract. Some contracts have an indemnity clause, or other ways to assign responsibility for errors, check how it could apply to you and what you might be liable.

    Essential Elements of a Contract

    According to the University of New Mexico, all contracts need to include at least four things:

    1. Something needs to be offered (the “offer”)

    2. Something needs to be exchanged for it, usually money, otherwise it is a gift or a promise rather than a contract. (a “consideration”)

    3. Both sides need to accept the terms of the contract (the “acceptance”)

    4. Both sides need to agree to the conditions and understand that they have entered into a contract (“mutuality”)

    Research Local Regulations

    Even with a template, get advice about local regulations that might apply to your situation. There may also be union or industry association requirements that need to be included. Are there insurances or noise restrictions that apply? Perhaps there are fees or planning permissions that have to be in place before work can start.

    Define Specific Details

    Leave nothing to chance. Spell out in your contract all the information that is relevant to your agreement. What is obvious to you may not be so obvious to someone else. Define key terms and the exact products and services you will be providing. A term like “due in 30 days” might mean calendar days or business days, if you assume business days but the other party assumes calendar days you may find yourself arguing over a late fee.

    Make sure to cover:

    • All of the information for both parties

    • The start and end times of the contract

    • Any key terms used

    • The products or service that you will be receiving or providing

    • Payment terms, due dates and any milestone payments or part payments that may be needed

    • Any fees or interest for late payments

    • Any insurances or liability requirements

    • Dispute resolution process or breach-of-contract process

    • Any special conditions

    Signing the Contract

    Make sure to look for all the places you need to fill in, and cross out any blank spaces to prevent them from being filled in later with something you didn’t agree to. Make sure to keep a copy of the contract — if you can, have two original copies that you both sign. At least ask for a photocopy and check that it is accurate. This way, you both have a signed record of what was agreed to in case it is needed later. Keep it somewhere safe for future reference and hold on to it for longer than you think you might need to in case there is a dispute in the future over what happened.

    Do You Really Need a Written Contract?

    While some verbal agreements can be enforced in court, a written contract shows what both parties had agreed to. If you are going to go without a contract, you will need to keep as much evidence as possible about what you both had agreed to and what actually happened. Keep your emails, any quotes or invoices, notes from discussions, logs of phone calls, and copies of any documents to help prove your case. With all that work, you will be better off getting it all down in writing to begin with. Using a contract will give you peace of mind that what you agreed to will actually happen.

    You need a written contract when:

    • Your work or the product you are receiving needs to be of a specific quality, size or material.

    • You aren’t sure the client will pay you after you have done the job.

    • You have to purchase insurance or materials, or hire staff to complete the job before getting paid.

    • You are working to a timeline where milestone payments are made at certain points, or there are bonuses for early completion.

    • You or your client has to keep certain information confidential, such as a non-disclosure agreement, business information or personal information.

    • You are required to have a contract by your insurance company.

    • You have a legal obligation to have a written contract (check your local laws and trade associations).

    • You want to prevent misunderstandings between you and your client by making things clear from the start.

    • You want proof in writing for the court to enforce, or to at least consider, if there is a dispute

      1. Fill in the information

    Always consult current legislation in your jurisdiction to create policies and procedures and contracts for your organization. SAMPLE AGREEMENT This Agreement is entered into as of the XX day of October, 200X, between ___________(“the Committee”) and ____________ (“the Contractor”).

    1. Independent Contractor. Subject to the terms and conditions of this Agreement, the Committee hereby engages the Contractor as an independent contractor to perform the services set forth herein, and the Contractor hereby accepts such engagement.

    2. Duties, Term, and Compensation. The Contractor’s duties, term of engagement, compensation and provisions for payment thereof shall be as set forth in the budget which is attached as Schedule A, which may be amended in writing from time to time, or supplemented with subsequent estimates for services to be rendered by the Contractor and agreed to by the Committee, and which collectively are hereby incorporated by reference.

    3. Expenses. During the term of this Agreement, the Contractor shall bill and the Committee shall reimburse her for all reasonable and approved out-of-pocket expenses as set forth in Schedule A which are incurred in connection with the performance of the duties hereunder.

    4. Written Reports. The Committee may request that project plans, progress reports and a final results report be provided by Consultant.. A final results report shall be due at the conclusion of the project and shall be submitted to the Committee in a confidential written report at such time. The results report shall be in such form and setting forth such information and data as is reasonably requested by the Committee.

    5. Confidentiality. Upon the expiration or earlier termination of this Agreement, or whenever requested by the Committee, the Contractor shall immediately deliver to the Committee all such files, records, documents, specifications, information, and other items in her possession or under her control. The Contractor further agrees that she will not disclose her retention as an independent contractor or the terms of this Agreement to any person without the prior written consent of the Committee and shall at all times preserve the confidential nature of her relationship to the Committee and of the services hereunder.

    6. Conflicts of Interest; The Contractor represents that she is free to enter into this Agreement and that this engagement does not violate the terms of any agreement between the Contractor and any third party. During the term of this agreement, the Contractor shall devote as much of her productive time, energy and abilities to the performance of her duties hereunder as is necessary to perform the required duties in a timely and productive manner. The Contractor is expressly free to perform services for other parties while performing services for the Committee.

    7. Termination. The Committee may terminate this Agreement at any time by 10 working days’ written notice to the Contractor. In addition, if the Contractor is convicted of any crime or offense, fails or refuses to comply with the written policies or reasonable directive of the Committee, is guilty of serious misconduct in connection with performance hereunder, or materially breaches provisions of this Agreement, the Committee at any time may terminate the engagement of the Contractor immediately and without prior written notice to the Contractor.

    8. Independent Contractor. This Agreement shall not render the Contractor an employee, partner, agent of, or joint venturer with the Committee for any purpose. The Contractor is and will remain an independent contractor in her relationship to the Committee. The Committee shall not be responsible for withholding taxes with respect to the Contractor’s compensation hereunder. The Contractor shall have no claim against the Committee hereunder or otherwise for vacation pay, sick leave, retirement benefits, social security, worker’s compensation, health or disability benefits, unemployment insurance benefits, or employee benefits of any kind.

    9. Insurance. The Contractor will carry liability insurance (including malpractice insurance, if warranted) relative to any service that she performs for the Committee.

    10. Assignment. The Contractor shall not assign any of her rights under this Agreement, or delegate the performance of any of her duties hereunder, without the prior written consent of the Committee.

    11. Modification or Amendment. No amendment, change or modification of this Agreement shall be valid unless in writing signed by the parties hereto.

    12. Entire Understanding. This document and any exhibit attached constitute the entire understanding and agreement of the parties, and any and all prior agreements, understandings, and representations are hereby terminated and canceled in their entirety and are of no further force and effect.

    13. Unenforceability of Provisions. If any provision of this Agreement, or any portion thereof, is held to be invalid and unenforceable, then the remainder of this Agreement shall nevertheless remain in full force and effect. IN WITNESS WHEREOF the undersigned have executed this Agreement as of the day and year first written above. The parties hereto agree that facsimile signatures shall be as effective as if originals.
