The Contractor and the Client shall be hereinafter referred to individually as a “Party” and collectively as “Parties”. Both Parties hereby enter into this Contract intending to be legally bound and agree upon all the terms and conditions of this Contract.

|
Work Statement - an integral part of the Contract containing a specification of the Client’s order to perform the work, the specific conditions for specific work, as well as other information which is essential for the fulfillment of the Contract by the Parties.
|
План работ – неотъемлемая часть Договора, содержащая условия конкретного заказа Заказчика на выполнение работ, специфические условия осуществления конкретных работ, а также иные сведения, имеющие существенное значение для исполнения Сторонами Договора.
|
Completion Notices – a Contractor's official written appeal to the Client on the completion of each intermediate stage of the work, as well as the final completion of the work.
|
Уведомление о завершении – официальное письменное обращение Исполнителя к Заказчику о завершении каждого промежуточного этапа работ, а также об окончательном завершении работ.
|
User Acceptance Testing Document - a document drawn up by the Contractor and in a format determined by the Contractor, containing a description of all the work performed, the accepted criteria for the work and graphs to evaluate the testing results by the Client.
|
Протокол приемочного тестирования – документ, составленный по форме Исполнителя, содержащий описание всех произведенных работ, критерии приемки работ и графы для оценки результатов тестирования, произведенного силами Заказчика.
|
Delivery and Acceptance Act - an official document drawn up by the Contractor and in a format determined by the Contractor, approved by the Parties, confirming the proper performance of works by the Contractor and the absence of claims by the Client.
|
Акт выполненных работ – официальный документ, составленный по форме, утвержденной Сторонами, подтверждающий факт надлежащего выполнения работ Исполнителем и отсутствия претензий со стороны Заказчика по качеству.
|
Defect Report – a document drawn up in a free form by the Client as a result of failure of acceptance of the performed works, containing a list of the shortcomings of work performed by the Contractor.
|
Отчёт о дефектах – документ, составленный в свободной форме Заказчиком по результатам неудачной приемки выполненных работ, содержащий перечень недостатков выполненных Исполнителем работ.
|
Change Request - a formal written request from the Client to the Contractor, containing the Client’s intention to change the Work Statement previously assigned by the Parties.

Уведомление об изменении – официальное письменное обращение Заказчика к Исполнителю, содержащее намерение Заказчика изменить План работ, ранее утвержденный Сторонами
|
Services Progress Report - a formal, free-form written response provided by the Contractor on the Client’s demand to provide information on the progress of the work.
|
Отчет о ходе выполнения Работ – официальный письменный ответ, предоставляемый Исполнителем в свободной форме на требование Заказчика предоставить информацию о ходе выполнения Работ.
|
Deployment Notification - a formal written appeal in the free form of the Contractor to the Client about the readiness to deploy the deliverables on the Client's equipment or equipment provided by the Client.
|
Уведомление о готовности к размещению результата – официальное письменное обращение в свободной форме Исполнителя к Заказчику о готовности к размещению результата работ на оборудовании Заказчика или оборудовании, предоставленном Заказчиком.
|
Acceptance Time - a period during which the Client accepts the intermediate results of development or deliverables.
|
Время приемки – срок, в течение которое Клиент осуществляет приемку промежуточного или окончательного результата работ.
|
Software Requirements Specification (SRS) - is a description of a software system to be developed. It lays out functional and non-functional requirements, and may include a set of use cases that describe user interactions that the software must provide.
|
Спецификация к программному обеспечению - описание системы программного обеспечения, которое подлежит разработке, в котором изложены функциональные и нефункциональные требования, а также, при необходимости, набор прецедентов, описывающих взаимодействие с пользователем, которое программное обеспечение должно обеспечить.

Section 1
SUBJECT OF THE CONTRACT
|
Раздел 1
ПРЕДМЕТ ДОГОВОРА
|
1.1. The Contractor hereby undertakes to provide for the services and/or execute work specified in the Client's Work Statement(s) and in this Contract, and the Client hereby undertakes to accept and pay for such services. Such services shall be hereinafter referred to as the “Services”.
|
1.1. Исполнитель, с одной стороны, обязуется выполнить работы (далее - «Работы»), предусмотренные Планом и\или Планами работ, являющимися неотъемлемой частью настоящего Договора, а Заказчик, с другой стороны, обязуется принять и оплатить такие результаты Работ.
|
1.2. The Client shall submit to the Contractor a work statement (the “Work Statement”) which may include but not be limited to:
(a) a description of commercial and/or functional tasks and priorities, as well as the Client’s other technical requirements for the Services and/or the Services’ result(s), as precise as possible under the given circumstances;
(b) a description of the hardware and/or software system, in its current state, which shall serve as a basis for operating the Services and/or the Services’ result(s) (hereinafter referred to as the “Project System”);
(c) the Client’s target deadlines for the Services;
(d) the payment rates and schedules for the Services;
(e) the acceptance procedure for the Services and/or the Services’ result(s);
(f) the procedure of delivering the Services’ result(s);
(g) the manner of the Contractor’s submitting documentation for the Services’ result(s) to the Client.
The Client may submit an unrestricted number of Work Statements within the scope of this Contract.

1.2. Заказчик обязуется утвердить План работ (далее — “План работ»), включая, но не ограничиваясь:
(а)описание коммерческих и/или функциональных заданий, расстановку приоритетов, технические требования к производимым работам настолько точно, насколько это возможно;
(b) описание программных и/или аппаратных средств в их текущем состоянии, которые должны служить основанием для выполнения Работ (далее – «Программное обеспечение»);
(c) запланированные Заказчиком сроки выполнения работ;
(d) расценки и график выполнения работы;
(e) процедуру приемки выполненных работ;
(f) процедуру передачи результатов выполненных Работ;
(g) способ предоставления Исполнителем документации, подтверждающей выполнение работ, предусмотренных настоящим Договором.
Заказчик может предоставить неограниченное количество Планов работ в рамках настоящего Договора.

1.3. The Contractor shall verify whether the requirements described in the Work Statement can be performed within the target dates specified by the Client. The Parties will adjust the conditions specified in the Work Statement if necessary.
|
1.3. Исполнитель обязан подтвердить возможность исполнения требований, описанных в Плане(-ах) работ, в рамках сроков, указанных Заказчиком. В случае необходимости, Стороны корректируют порядок и условия выполнения Работ, изложенных в Плане(-ах).
|
1.4. For the purposes of this Contract and all the services to be provided hereunder, the Contractor shall be deemed to be an independent contractor and not an agent or employee of the Client. Neither Party shall have the authority to make any statements, representations or commitments of any kind on behalf of the other Party, or to take any action which shall be binding on the other Party, except as may be expressly provided for herein or authorized in writing. This Contract does not create a partnership, joint venture or agency relationship or similar relationship between the Parties.

1.4. В рамках настоящего Договора Исполнитель не является ни агентом, ни работником Заказчика, а рассматривается как независимый подрядчик для выполнения работ, предусмотренных настоящим Договором. Стороны не уполномочены делать какие-либо заявления от имени другой Стороны или предпринимать какие-либо действия, вовлекающие другую Сторону, за исключением изложенных в настоящем Договоре или подтвержденных в письменной форме. Данный Договор не формирует между Сторонами отношений типа партнерства, совместного предприятия или агентства.

Section 2
RENDERING OF SERVICES

ПОРЯДОК ВЫПОЛНЕНИЯ РАБОТ
|
2.1. Obligations of the Contractor:
|
2.1 Обязанности Исполнителя:
|
2.1.1. The Contractor shall render the Services according to the terms and conditions hereof or to the standards normally applied in respect to similar Services in the part not regulated hereunder.
The Services shall comply with the applicable requirements of the Law binding upon the Parties, and with other applicable regulatory legal acts, requirements and instructions of the relevant, authorized state bodies.

2.1.1. Исполнитель обязуется оказать Работы в соответствии с условиями настоящего Договора, а также в части не урегулированной Договором – требованиями, обычно предъявляемыми к такого рода Работам.
Работы должны соответствовать применимым и обязательным для Сторон требованиям законодательства, а также иных применимых нормативных правовых актов и требований и предписаний уполномоченных органов государственной власти.

2.1.2. The Contractor shall render the Services independently with its own equipment, tools and means, at its own cost, risk, and responsibility in the best interests of the Client.
The Contractor shall allocate qualified personnel with relevant experience and engineering knowledge, as well as technical, organizational and financial resources needed and sufficient for the proper rendering of the Services.

2.1.2. Исполнитель обязуется выполнить работы Заказчику своими силами, оборудованием, инструментами и средствами, за свой счет и под свою ответственность.
Исполнитель обязуется выделить для выполнения Работ квалифицированный персонал, обладающий соответствующими опытом и профессиональными знаниями и навыками, а также технические, организационные и финансовые средства, необходимые и достаточные для надлежащего выполнения Работ.
